Nicholson y Cano advised Matba Rofex in the acquisition of the financial services technology company LUMINA AMERICAS

Nicholson y Cano assisted Matba Rofex Group in its regional expansion process by accompanying it in the strategic acquisition of LUMINA AMERICAS, serving as legal advisors to the buyer together with FIRST CAPITAL GROUP, which acted as Financial Advisor to Matba Rofex. Through this acquisition, Matba Rofex Group continues to consolidate its leadership in the provision of services and technology platforms to the financial market.

Matba Rofex S.A., is one of the main authorized markets in the Capital Markets, formed in 2019 as a result of the merger of two markets with a centennial tradition in futures and options trading in Argentina: Mercado a Término de Buenos Aires S.A. and ROFEX S.A. In addition to trading, settlement and guarantee of futures and options, it provides infrastructure and technology services for capital market participants and the Argentine financial system, registration solutions for over-the-counter derivatives, mutual fund shares and SME financing instruments.

It has a Securities Broker in Uruguay and an Integral Clearing and Settlement Agent in Argentina. Matba Rofex provides core technology platforms for its own Group, as well as for market participants: brokers, fund managers and end-investors. In addition, it supports fintechs in their integration with the capital markets. The objective of the acquisition is to continue the leadership in financial technology in Argentina as well as in the region.

On July 12, Matba Rofex accepted the offer for the acquisition of all the shares and votes of the Argentine company Lumina Americas SA, together with all the shares and votes of its subsidiary and controlled company, the Mexican operating corporation Lumina Americas SA de CV ("Lumina"), a leading company in the Mexican market and in the region.

Lumina's mission is to implement software solutions that help develop and support high performance businesses in the financial market. Since 2001, Lumina has been providing solutions for the financial services industry in Latin America. In this sense, it is committed to providing innovative solutions in the financial arena, counting with a portfolio of first class clients.

Nicholson y Cano Abogados, one of the leading law firms in Argentina, advised Matba Rofex throughout the entire acquisition transaction, covering the due diligence prior to the acquisition, the negotiation with the selling shareholders of LUMINA AMERICAS, as well as all the documents related to the Transaction, including the share purchase agreement, the agreements with the company's managers, the guarantees, conditions precedent and the closing documents.

Matba Rofex was advised throughout the entire transaction by senior partner Marcelo Villegas of the Financial Department, senior associate Mercedes Jándula of the Corporate Law team and junior associates Clara Pancotto and Sofía Vetrugno. In addition, partner Pablo Venarotti and senior associates Federico De la Torre and Juliana Mariel Cabrera provided labor advice on all labor aspects of the transaction. On behalf of Matba Rofex, María Sol Mas and María Victoria Pelaez participated during the whole process of the Transaction.

Likewise, Nicholson coordinated the financial aspects of the negotiation with the Financial Advisor of the Transaction, Fernando Terre of FIRST CAPITAL GROUP.
